Lumina Lights LLC

Terms & Conditions

These terms govern every proposal, installation, service visit, and warranty claim between Lumina Lights LLC and its customers. Please read them carefully — they include a limited warranty, a limitation of our liability, and an agreement to resolve disputes by arbitration.

Effective September 22, 2026 Version 2.0 Governed by Ohio law

Please read these three things first.

Arbitration. Section 24 requires most disputes to be resolved by individual binding arbitration rather than in court, and waives your right to participate in a class action. Small-claims matters are excluded.

Your right to cancel. If you signed your agreement somewhere other than our place of business — including at your home — you may cancel it without penalty before midnight of the third business day after the date of the transaction. See Section 7.

Limits on our liability. Sections 18 and 19 limit what we are responsible for and cap the damages you can recover.

01Agreement to these terms

These Terms & Conditions (the "Terms") apply to all goods and services provided by Lumina Lights LLC, an Ohio limited liability company ("Lumina Lights," "we," "us," or "our") to you (the "Customer," "you," or "your"). They apply whether you are a homeowner, a business, a property manager, a municipality, or a venue.

You agree to these Terms when you do any of the following: sign or electronically accept a proposal, estimate, quote, work order, or service agreement from us; pay a deposit or invoice; or allow us to begin work at your property. Together, these Terms and the signed proposal for your project form the entire agreement between us (the "Agreement").

If a signed proposal conflicts with these Terms, the signed proposal controls for that project only, and only as to the specific point of conflict. Everything else in these Terms continues to apply.

We do not accept your terms. If you send us a purchase order, vendor agreement, standard terms, or similar document, any term in it that adds to, conflicts with, or differs from these Terms is rejected and has no effect unless we agree to it in a writing signed by an authorized representative of Lumina Lights. Our performance of work is not acceptance of your terms.

We may update these Terms from time to time. The version posted on our website when you signed your proposal governs your project. Changes are not retroactive.

02Definitions

  • "Services" means design, installation, programming, maintenance, service, repair, removal, storage, and event production work we perform.
  • "Materials" means the lighting products, controllers, power supplies, track, channel, wire, fasteners, and related components we supply.
  • "System" means the installed combination of Materials at your property.
  • "Proposal" means the written estimate, quote, work order, or service agreement describing the scope and price of your project.
  • "Property" means the site where the Services are performed.
  • "Seasonal Services" means temporary installations intended to be removed at the end of a defined display period, including holiday lighting and event lighting.
  • "Permanent Installation" means a System intended to remain in place year-round, including permanent roofline lighting, architectural trim lighting, uplighting, and pole-mounted tube lighting.

03Our services

Lumina Lights provides professional lighting design, installation, and service, including permanent architectural and roofline lighting, uplighting and facade washing, pole and site lighting, seasonal and holiday lighting displays, synchronized light shows, and event lighting and production.

All installations are performed by our crews. We do not currently offer do-it-yourself installation. Materials we supply are intended to be installed, serviced, and removed by Lumina Lights personnel or by installers we authorize in writing.

We are a lighting contractor. We are not a licensed electrical contractor for the purposes of new service installation, panel work, or permanent branch-circuit wiring, and we do not perform roofing, masonry, structural, or tree work. Where a project requires that work, we will identify it and you are responsible for retaining an appropriately licensed trade, unless our Proposal expressly states that we are furnishing it through a licensed subcontractor.

04Proposals, estimates, and pricing

Proposals are valid for thirty (30) days from the date issued unless stated otherwise, and are not binding on us until we countersign or begin work.

Pricing is based on the scope, measurements, site conditions, and access described in the Proposal. If actual conditions differ materially from what was described or observable at the time of the estimate, we will notify you and provide revised pricing before proceeding. See Section 13.

Unless the Proposal says otherwise: prices exclude applicable sales and use taxes; prices exclude permits, inspection fees, HOA or landlord application fees, and utility charges; and prices assume normal working hours, reasonable ground-level and ladder or lift access, and a single mobilization to the site.

Where a Proposal includes an allowance for an item whose final cost is not known at signing, the allowance is an estimate only, and the difference between the allowance and the actual cost will be added to or credited against the contract price.

We reserve the right to adjust pricing for material cost increases, tariffs, or supply disruptions that occur after the Proposal date and before Materials are ordered, provided we notify you in writing and give you the option to cancel without penalty and receive a refund of amounts paid for work not yet performed.

05Deposits and payment

Unless your Proposal states different terms:

StageAmount due
At signingA deposit in the amount stated in your Proposal, due before your project is scheduled and before Materials are ordered. The deposit reserves your installation date and covers material procurement.
On substantial completionThe remaining balance, due upon substantial completion of the installation.
Service and repair visitsDue upon completion of the visit.
Commercial accountsWhere we have extended terms in writing, invoices are due net twenty-one (21) days from the invoice date.

Substantial completion means the System is installed and operational for its intended purpose, even if minor punch-list items, cosmetic adjustments, or programming refinements remain. Punch-list items are not grounds for withholding more than a reasonable amount attributable to the value of the remaining work.

For multi-phase or large projects, we may invoice progress payments as described in the Proposal. For Seasonal Services, payment may be required in full before the display period begins.

We accept the payment methods identified on your invoice. Payments made by credit card may be subject to a processing surcharge where permitted by law and disclosed in advance. Returned or reversed payments are subject to a fee of $35 plus any bank charges we incur.

Deposits are non-refundable once Materials have been ordered or custom fabrication has begun, except as provided in Section 7 (right to cancel) or where we cancel the project for reasons other than your breach. Before Materials are ordered, deposits are refundable less any design, measurement, or engineering time already performed at our standard rates.

06Late payment and collection

Amounts not paid when due accrue a late charge at the rate of one and one-half percent (1.5%) per month (18% per year), or the maximum rate permitted by Ohio law for the transaction, whichever is less, calculated from the due date until paid in full. For consumer transactions governed by Ohio Revised Code § 1343.01, the rate will not exceed the statutory maximum.

If any amount remains unpaid for more than thirty (30) days, we may suspend all Services, including warranty service and app or controller access, until the account is brought current. Suspension for non-payment does not extend any warranty period and does not excuse your payment obligation.

If any amount remains unpaid for more than sixty (60) days, we may refer the account to a collection agency or attorney. You agree to pay all reasonable costs of collection, including collection agency fees, court costs, and reasonable attorneys' fees, to the extent permitted by applicable law.

Title and security interest. Title to all Materials remains with Lumina Lights until payment in full is received. You grant us a purchase-money security interest in the Materials until paid, and authorize us to file financing statements to perfect it. We also reserve all lien rights available to us under Ohio law, including mechanic's lien rights under Ohio Revised Code Chapter 1311.

You may not withhold payment on account of a claim, set-off, or dispute unless you have first given us written notice of the issue and a reasonable opportunity to cure it under Section 24.1.

07Your right to cancel

This section applies to residential customers and is required by Ohio law.

YOU, THE BUYER, MAY CANCEL THIS TRANSACTION AT ANY TIME PRIOR TO MIDNIGHT OF THE THIRD BUSINESS DAY AFTER THE DATE OF THIS TRANSACTION. See the Notice of Cancellation provided with your signed agreement for an explanation of this right.

If your agreement with us was solicited or signed at your residence, or at any place other than our fixed place of business, it is a home solicitation sale under Ohio Revised Code Chapter 1345, and you may cancel it without penalty or obligation within three business days. A detachable Notice of Cancellation form is provided with your signed agreement. To cancel, deliver or mail a signed and dated copy of that notice — or any other written notice of cancellation — to us at the address in Section 28 before midnight of the third business day after the transaction date.

If you cancel within that period, we will return any payments you made within ten business days and cancel any security interest arising out of the transaction. You must make available to us at your residence, in substantially as good condition as when received, any goods delivered to you. If we do not pick up the goods within twenty days of the date of your notice of cancellation, you may keep or dispose of them without further obligation.

This right cannot be waived, and nothing in these Terms — including the arbitration provision in Section 24 — limits it.

08Cancellation and rescheduling by you

After the cancellation period in Section 7 has passed, the following applies:

  • More than 14 days before your scheduled start date: you may cancel and receive a refund of amounts paid, less the cost of Materials already ordered or fabricated and less design, measurement, and engineering time performed at our standard rates.
  • Within 14 days of your scheduled start date: your deposit is forfeited, and you remain responsible for the cost of Materials already ordered or fabricated.
  • After work has begun: you are responsible for all Materials supplied and all labor performed through the date of cancellation, plus a reasonable demobilization charge.
  • Rescheduling: we will accommodate one reschedule at no charge with at least 72 hours' notice. Later notice, repeat reschedules, or a crew arriving at a site that is not accessible or not ready may incur a trip charge at our standard rates.

For Seasonal Services, cancellation after Materials have been staged or allocated to your display, or after the display season has begun, does not entitle you to a refund, because that capacity cannot be resold within the season.

09Scheduling, weather, and delays

Installation dates are estimates. We will make reasonable efforts to meet the schedule in your Proposal, but our obligations as to timing are obligations of reasonable effort, not guarantees of a specific date or outcome.

We work at height and with electrical equipment. We will not install, service, or remove lighting in conditions we judge unsafe, including high winds, lightning, ice, snow accumulation, heavy rain, or extreme cold. Weather delays are not a breach of this Agreement and do not entitle you to a refund, discount, or damages.

Seasonal installation and removal are scheduled across a route covering many properties. We cannot guarantee a specific day or time window for seasonal installation, mid-season service, or removal, and we may adjust routing for weather, crew availability, and efficiency.

We are not liable for delays caused by supplier lead times, backorders, shipping, permit or inspection timelines, HOA or landlord approvals, utility coordination, or the acts or omissions of other trades working at the Property.

10Site access and your responsibilities

You agree to provide, at no cost to us:

  • Safe, unobstructed access to the Property and to all work areas on the scheduled dates, including gate codes, keys, badges, or escorts where required.
  • Parking and staging area adequate for our vehicles, ladders, and lifts, including space for a boom or scissor lift where the scope requires one.
  • Access to working electrical outlets and, where applicable, water.
  • Secure confinement of pets, and reasonable measures to keep children and other occupants clear of work areas.
  • Removal or relocation of vehicles, furniture, planters, decorations, and other obstructions from work areas before we arrive.

You represent and warrant that: you own the Property or are authorized by the owner to have this work performed; you have obtained any required HOA, landlord, condominium association, historic district, or municipal approval; and you have disclosed to us the location of any irrigation lines, invisible fencing, low-voltage wiring, septic components, buried conduit, or other subsurface utilities in areas where ground stakes, anchors, or trenching are part of the scope. We are not responsible for damage to unmarked or undisclosed subsurface items.

You are responsible for obtaining permits unless our Proposal expressly says we will obtain them. If a permit, inspection, or approval is denied or revoked, amounts due for work already performed remain payable.

If a site is not accessible or not ready on the scheduled date, or if conditions require us to leave for safety reasons, we may charge a trip charge at our standard rates and reschedule to the next available date on our route.

11Electrical service and power

Unless our Proposal expressly includes it, you are responsible for providing adequate, code-compliant electrical service at the points required by the design, including properly grounded GFCI-protected exterior outlets on circuits with sufficient capacity for the connected load.

We will advise on the power requirements of the System during design. If existing service is inadequate, undersized, improperly grounded, or non-compliant, the work required to correct it is not included in our price, and must be performed by a licensed electrician. We may decline to energize a System connected to service we consider unsafe.

You are responsible for the cost of electricity consumed by the System. We make no representation about operating cost, and any estimate of consumption we provide is an approximation only.

We are not responsible for damage to the System, to your property, or to other equipment caused by power surges, brownouts, lightning, utility faults, improper grounding, generator use, or electrical service not installed or maintained by us. We strongly recommend surge protection on circuits serving the System.

12Existing conditions and unavoidable contact

Lighting installation requires contact with roofs, gutters, soffits, fascia, siding, masonry, trim, landscaping, and other existing building components. By authorizing the work, you acknowledge and accept the following:

  • Mounting, clipping, fastening, and wire routing involve contact with, and in some cases penetration of, existing surfaces. Some installations require fasteners, adhesives, or sealant.
  • Aged, brittle, deteriorated, improperly installed, or already-damaged materials — including old shingles, loose or rusted gutters, rotted fascia, failing sealant, brittle vinyl, and deteriorated mortar — may be damaged by ordinary and careful installation or removal. We are not responsible for damage arising from pre-existing deterioration or defective construction.
  • Removal of a Seasonal or Permanent Installation may leave fastener holes, clip marks, adhesive residue, or differences in surface weathering. Restoration of finishes, paint, or sealant is not included unless stated in the Proposal.
  • We are not responsible for the condition, load capacity, weatherproofing, or code compliance of the structures to which the System is attached.
  • Installing lighting on a roof may affect a roofing manufacturer's or roofer's warranty. You are responsible for confirming the effect of the installation on any warranty you hold.

If we observe a condition that we believe makes installation unsafe or likely to cause damage, we will notify you. If you direct us to proceed anyway, you accept responsibility for the resulting damage and agree to the terms of Section 20.

Please notify us in writing of any damage you believe we caused within seven (7) days of the visit, with photographs, so we can inspect it while the cause can still be determined. Prompt notice lets us make it right; late notice makes it impossible to tell our work from ordinary weathering or another trade's.

13Changes and additional work

Any change to the scope, design, materials, layout, or schedule must be documented in a written change order — which may be by email or through our customer portal — describing the change and the adjustment to price and schedule. We are not obligated to perform changed work until the change order is approved.

Where unforeseen conditions require additional work, we will notify you before proceeding. For residential projects, you may elect in advance to receive written estimates for unforeseen work exceeding $5,000, as provided under Ohio law; absent that election, we may proceed on an oral approval confirmed in writing.

Verbal requests made to crew members on site are not authorized changes. Please direct all change requests to the project contact identified in your Proposal.

14Seasonal and holiday lighting

Display period and removal

Seasonal Services cover a defined display period stated in your Proposal, typically including installation, mid-season service, and removal. Removal is scheduled by route after the display period ends, generally in January and February, weather permitting. We cannot guarantee a specific removal date.

If you request that a display remain up beyond the contracted period, additional charges apply and we are not responsible for weather-related degradation during the extension.

Mid-season service

Where your Proposal includes mid-season service, we will repair or replace failed sections, correct fallen or shifted elements, and address controller or programming issues at no additional charge during the display period, excluding damage from the causes listed in Section 17.3. Please report outages promptly; we cannot service a display we do not know is out.

Ownership of seasonal materials

Unless your Proposal states that you are purchasing the Materials outright, Materials used in Seasonal Services remain the property of Lumina Lights, are furnished to you for the display period only, and are removed and retained by us at the end of the season. Where we store customer-owned seasonal materials between seasons, storage is provided as a courtesy or for the fee stated in your Proposal; we are not a bailee for hire and our liability for stored materials is limited to their depreciated replacement value.

Light shows and programming

For synchronized shows, show design, sequencing, and programming are creative works. Section 22 governs ownership. Where a show uses licensed music, you are responsible for obtaining any required public performance licenses unless our Proposal states that we are furnishing them.

15Permanent installations and ownership

Title to the Materials in a Permanent Installation passes to you upon our receipt of payment in full. Until then, title and the security interest described in Section 6 remain with us.

Once title passes, the System is your property and you are responsible for its ongoing care, including keeping it clear of debris, ice dams, and vegetation, and notifying other trades of its presence before roofing, painting, pressure washing, gutter, siding, or tree work.

Do not allow other contractors to remove, relocate, modify, or reinstall the System. Work performed on the System by anyone other than Lumina Lights or an installer we authorize in writing voids the workmanship warranty in Section 17 as to the affected areas. We offer paid removal-and-reinstall service for renovation, roofing, and painting projects — please call us before that work begins.

16Lumina Sync app and connected systems

Systems with a controller are operated through the Lumina Sync application. Your use of Lumina Sync is subject to these Terms and to any additional app terms presented in the app.

We grant you a limited, non-exclusive, non-transferable, revocable license to use Lumina Sync to operate the System at your Property for as long as you own it and your account is in good standing. You may not reverse engineer, decompile, resell, or sublicense the app or the controller firmware.

Lumina Sync depends on your internet service, your Wi-Fi network, your mobile device, and third-party cloud and connectivity services. We do not guarantee uninterrupted or error-free operation, and we are not responsible for loss of function caused by your network, router changes, ISP outages, device or operating system updates, third-party service outages, or discontinuation of a third-party service.

We may deliver firmware and software updates automatically. Features may be added, changed, or removed over time. We will make reasonable efforts to preserve core scheduling and control functionality for Systems under warranty.

We collect limited operational data from controllers — such as status, connectivity, fault codes, and firmware version — to provide remote diagnostics and support. We handle personal information in accordance with our Privacy Policy. We do not sell customer personal information.

Access to Lumina Sync may be suspended for non-payment as described in Section 6.

17Limited warranty

This Section 17 is the complete warranty offered by Lumina Lights and is incorporated into and governed by these Terms. Our Warranty page summarizes this coverage for convenience; if that summary and this Section conflict, this Section controls.

17.1 Coverage

CoverageTermWhat it covers
LEDs10 yearsLED tubes, strands, and diodes supplied by us, against defects in materials and manufacturing under normal use.
Parts5 yearsFixtures, track and channel, power supplies, controllers, and all other non-LED components supplied by us, against defects in materials and manufacturing under normal use.
Installation workmanship2 yearsMounting, fasteners, wire runs, terminations, and sealing performed by our crews.
Labor2 yearsService labor for covered warranty repairs is provided at no charge for the first two years.

All terms run from the date of substantial completion of the original installation. Warranty coverage applies only to the original installation address and only to Systems installed by Lumina Lights.

Years 3 through 10. Covered parts are replaced at no charge for the full five years, and covered LEDs for the full ten years. After year two, you pay our standard service call and labor rates for the visit.

Repaired or replaced parts are warranted for the remainder of the original term, not a new term. We may use new, refurbished, or functionally equivalent replacement parts; exact color, finish, or model matching is not guaranteed as product lines change.

17.2 Transfer

The warranty transfers once to a subsequent owner of the Property at no charge, provided we are notified in writing within thirty (30) days of the transfer with the new owner's contact information. The remaining term carries over; it does not restart.

17.3 What is not covered

  • Weather and acts of nature, including storm, wind, hail, ice, flooding, lightning, and falling limbs.
  • Damage caused by third parties, including roofing, gutter, siding, painting, pressure washing, window cleaning, tree, or landscaping work.
  • Power surges, brownouts, utility faults, improper grounding, and generator use.
  • Vandalism, theft, animal or insect damage, impact, and accident.
  • Unauthorized modification, relocation, repair, or reinstallation, and any work on the System by anyone other than Lumina Lights or an installer we authorize in writing.
  • Removal and reinstallation required for renovation, roofing, painting, or other construction.
  • Normal wear, including gradual LED lumen depreciation and minor color variation between fixtures or production batches, which is inherent to LED technology.
  • Cosmetic conditions that do not affect function, including surface discoloration, fading, and weathering of exterior finishes.
  • Systems not installed by Lumina Lights, and customer-supplied materials.
  • Failures caused by your network, internet service, mobile device, or third-party services (see Section 16).
  • Damage caused by failure to perform reasonable maintenance, or by continued operation after a fault is known.
  • Seasonal Materials that remain our property under Section 14, which are maintained rather than warranted.

17.4 How to make a claim

Contact us at the phone number or email in Section 28 with your name, the installation address, a description of the problem, and photographs or video where possible. Many faults can be diagnosed remotely through Lumina Sync. If an on-site visit is needed, we will schedule it within a reasonable time, subject to weather and season. Seasonal display outages are prioritized during the display period.

Please report warranty issues promptly after you discover them. Continuing to operate a System with a known fault can turn a covered repair into consequential damage that is not covered.

If we determine that a reported issue is not covered by this warranty, we will tell you before performing work and quote the repair at our standard rates. A diagnostic or trip charge may apply to non-covered visits.

17.5 Exclusive remedy

Repair or replacement as described in this Section 17, or at our option a refund of the amount you paid for the defective Materials or workmanship, is your sole and exclusive remedy for any defect in Materials or workmanship, and the entire liability of Lumina Lights for any such defect.

18Disclaimer of other warranties

EXCEPT FOR THE LIMITED WARRANTY EXPRESSLY SET FORTH IN SECTION 17, LUMINA LIGHTS MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AND HEREBY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE CONSTRUCTION, HABITABILITY, AND NON-INFRINGEMENT. ALL GOODS AND SERVICES ARE OTHERWISE PROVIDED "AS IS."

NO EMPLOYEE, CREW MEMBER, AGENT, OR REPRESENTATIVE OF LUMINA LIGHTS IS AUTHORIZED TO MAKE ANY WARRANTY OR REPRESENTATION BEYOND THOSE STATED IN THESE TERMS, AND ANY SUCH STATEMENT IS NOT BINDING ON US.

Materials manufactured by third parties may carry their own manufacturer warranties. We will pass through and assist you in pursuing any transferable manufacturer warranty, but we do not assume the obligations of a manufacturer. Some states do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to you. This warranty gives you specific legal rights, and you may have other rights which vary by state.

19Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMINA LIGHTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF USE, LOSS OF GOODWILL, COST OF SUBSTITUTE SERVICES, DIMINUTION IN PROPERTY VALUE, OR DAMAGES ARISING FROM A DISPLAY OR SYSTEM BEING INOPERABLE DURING ANY EVENT, HOLIDAY, OR PROMOTIONAL PERIOD — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SERVICES, OR THE MATERIALS — WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE — WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO LUMINA LIGHTS UNDER THE PROPOSAL GIVING RISE TO THE CLAIM.

These limitations do not apply to liability for bodily injury or death caused by our negligence, to damage to tangible property caused by our negligence to the extent covered by our general liability insurance, or to any liability that cannot be limited under applicable law. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above may not apply to you.

Time limit on claims. Any claim or action arising out of or relating to this Agreement must be commenced within one (1) year after the cause of action accrues, or within any longer minimum period required by applicable law, after which it is permanently barred. This does not shorten the warranty periods in Section 17.

20Indemnification

You agree to defend, indemnify, and hold harmless Lumina Lights, its members, employees, and subcontractors from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: your breach of this Agreement; your breach of the representations in Section 10; your direction to proceed with work over a condition we identified as unsafe or likely to cause damage under Section 12; injury or damage arising from the acts or omissions of you, your other contractors, your guests, or your tenants; your use or operation of the System after installation; and any claim that content, music, imagery, or branding you supplied for a display or show infringes a third party's rights.

We will defend, indemnify, and hold you harmless from third-party claims for bodily injury or damage to tangible property to the extent caused by our negligence or willful misconduct, subject to Section 19.

21Insurance

Lumina Lights maintains commercial general liability insurance and workers' compensation coverage as required by Ohio law. A certificate of insurance is available on request and will be provided for projects where it is required. We can name a property owner, general contractor, or municipality as an additional insured where the project requires it and the request is made before work begins.

You are responsible for maintaining property insurance on the Property and its contents. Our insurance does not cover your property against loss, and nothing in this Agreement makes us an insurer of the Property or of the System.

22Photography, media, and design rights

Our work product. All lighting designs, layouts, renderings, drawings, show sequences, programming files, scene libraries, and specifications we prepare remain the intellectual property of Lumina Lights. You receive a license to use them in connection with the System at your Property. You may not use them to obtain competing bids, to have the work performed by another contractor, or to reproduce the design elsewhere.

Photography. Unless you tell us otherwise in writing, you grant us permission to photograph and video-record the completed installation and to use those images in our portfolio, website, social media, advertising, and proposals. We will not publish your name, street address, or any identifying interior view without your consent. You may withdraw this permission at any time by writing to us; we will stop future use, though we are not obligated to recall materials already printed or distributed.

Your marks. Where a commercial project uses your logo, branding, or colors, you grant us a limited license to use them for that purpose and represent that you have the right to do so.

23Force majeure

Neither party is liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including severe weather and natural disasters, fire, flood, pandemic or public health order, war, terrorism, civil unrest, labor disputes, utility or power failure, internet or telecommunications failure, government action, supply chain disruption, material shortage, tariff, or transportation delay. The affected party's performance is suspended for the duration of the event. If the event continues for more than ninety (90) days, either party may terminate the affected Proposal, in which case you pay for all Materials supplied and Services performed through the date of termination.

24Dispute resolution and arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION INSTEAD OF IN COURT, AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

24.1 Talk to us first

Most problems can be solved with a phone call. Before starting arbitration or any other proceeding, you agree to notify us in writing at the address in Section 28, describing the issue and the resolution you are seeking, and to give us thirty (30) days to resolve it. We agree to do the same before bringing a claim against you. Many disputes are resolved at this stage, and doing so costs neither of us anything.

24.2 Agreement to arbitrate

If we cannot resolve a dispute informally, you and Lumina Lights agree that any dispute, claim, or controversy arising out of or relating to this Agreement, the Services, the Materials, the System, or our relationship — whether based in contract, warranty, tort, statute, or otherwise — will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (for consumer disputes) or its Construction Industry Arbitration Rules (for commercial disputes), by a single arbitrator. This Agreement evidences a transaction involving interstate commerce and is governed by the Federal Arbitration Act.

The arbitration will be held in Butler County, Ohio, or, at your election if you are a consumer, in the county where you reside, or by telephone, video, or documents-only submission where the AAA rules allow. The arbitrator may award any relief a court could award to the individual party, subject to the limitations in Section 19, and the award may be entered as a judgment in any court of competent jurisdiction.

24.3 Costs

For consumer disputes, Lumina Lights will pay all AAA filing, administrative, and arbitrator fees that exceed what you would have paid to file the same claim in an Ohio court of competent jurisdiction. Each party otherwise bears its own attorneys' fees and costs, except where a statute or this Agreement provides for fee shifting.

24.4 Class action waiver

You and Lumina Lights agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim — and only that claim — must proceed in court, and the remainder of this Section 24 remains in effect.

24.5 What is excluded

This Section 24 does not apply to: claims that qualify for small claims court, which either party may bring there instead; actions to enforce a mechanic's lien or a security interest, or to collect an unpaid account; claims for injunctive relief to protect intellectual property or confidential information; and your cancellation rights under Section 7 and any other right that cannot be subject to arbitration under applicable law.

24.6 Opt out

You may opt out of this arbitration agreement by sending written notice to us at the address in Section 28 within thirty (30) days of first accepting these Terms, stating your name, the Property address, and that you are opting out of arbitration. Opting out will not affect any other part of this Agreement, and will not affect your project, pricing, or warranty in any way.

25Governing law and venue

This Agreement is governed by the laws of the State of Ohio, without regard to its conflict of laws principles. Subject to Section 24, you and Lumina Lights consent to the exclusive jurisdiction and venue of the state and federal courts located in Butler County, Ohio, for any action not subject to arbitration, and each party waives any objection to that venue.

Jury trial waiver. To the extent any dispute proceeds in court rather than arbitration, each party knowingly and voluntarily waives any right to a trial by jury.

Nothing in these Terms limits any non-waivable right you have under the Ohio Consumer Sales Practices Act, the Ohio Home Solicitation Sales Act, the Ohio Home Construction Service Suppliers Act, or other applicable consumer protection law.

26Communications and electronic signatures

By providing your phone number and email address, you consent to receive calls, text messages, and emails from us about your project, scheduling, service, invoices, and account. Service and transactional messages are not marketing. Message and data rates may apply. You may opt out of marketing messages at any time by replying STOP or using the unsubscribe link; you cannot opt out of transactional messages about an active project while it is in progress.

You agree that electronic signatures, approvals, and records have the same legal effect as handwritten signatures and paper records, and that proposals, change orders, and notices may be delivered and accepted electronically.

Notices to you may be sent to the email or mailing address in your Proposal. Notices to us must be sent to the address in Section 28.

27General provisions

Entire agreement. These Terms together with your signed Proposal and any approved change orders constitute the entire agreement between the parties and supersede all prior proposals, discussions, marketing materials, and representations, whether oral or written.

Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the remaining provisions remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of that provision or of our right to enforce it later. A waiver is effective only if in writing and signed by us.
